  • Impersonating any person or entity or falsely representing your affiliation with any person or entity;

  • Interfering with or disrupting the integrity or performance of the Site or its servers, networks, or systems;
  • Attempting to gain unauthorized access to any portion of the Site, other accounts, or systems connected to the Site;

4.2 Order-Specific Obligations

  • You must be present at the designated delivery address at the agreed-upon time to receive your order, or arrange for an authorized adult to receive the order on your behalf;
  • You agree to provide accurate delivery addresses and contact information for each order;
  • You acknowledge that delivery times are estimates and may vary due to factors outside of our control, including traffic, weather, and high demand periods; and
  • You agree not to attempt to reverse, dispute, or chargeback legitimate charges for orders that were successfully delivered or made available for pickup.

5. Intellectual Property Rights

All content available on or through the Site, including but not limited to text, graphics, logos, images, photographs, audio clips, video clips, data compilations, software, and the overall design and appearance of the Site (collectively, "Intellectual Property"), is the exclusive property of Dewey's Pizza or its licensors and is protected by applicable United States intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), trademark laws, and other applicable state and federal laws.

The Dewey's Pizza name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Dewey's Pizza or its affiliates. You may not use such marks without the prior written permission of Dewey's Pizza. All other names, logos, and marks appearing on the Site are the property of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content solely for personal, non-commercial purposes in connection with your use of our Services. This license does not include the right to:

We reserve the right to refuse or cancel any order at any time for reasons including, but not limited to, item unavailability, pricing errors, suspected fraud, or inability to verify payment information. If your order is canceled after payment has been processed, we will issue a refund using the original payment method.

6.2 Pricing

All prices displayed on the Site are in United States Dollars (USD) and are subject to applicable sales taxes, delivery fees, and any other applicable charges as disclosed at checkout. We reserve the right to change prices at any time without prior notice. Promotional pricing and discounts are subject to specific terms and expiration dates as indicated and may not be combined with other offers unless explicitly stated.

6.3 Payment

By providing payment information, you represent and warrant that you are authorized to use the designated payment method and authorize Dewey's Pizza to charge your selected payment method for the total order amount, including applicable taxes and fees. Once an order has been confirmed and preparation has begun, cancellations may not be possible. If you have food allergies, dietary restrictions, or specific health concerns, you are strongly encouraged to contact us before placing an order. You acknowledge and agree that Dewey's Pizza shall not be liable for any allergic reactions, adverse health events, or other consequences arising from the consumption of our food products where you have not disclosed relevant dietary restrictions or where we have otherwise provided accurate allergen information.

8. Disclaimers and "As-Is" Basis

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL SERVICES, CONTENT, INFORMATION, AND PRODUCTS PROVIDED THROUGH OR IN CONNECTION WITH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED.

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR INFORMATION AVAILABLE ON THE SITE;
  • WARRANTIES THAT ORDERS WILL BE FULFILLED WITHIN ANY PARTICULAR TIMEFRAME OR THAT FOOD ITEMS WILL MEET YOUR SPECIFIC EXPECTATIONS; AND
  • WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE OR OUR SERVICES.

Some jurisdictions do not allow the disclaimer of implied warranties, so certain of the above disclaimers may not apply to you. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES FEDERAL AND STATE LAW, IN NO EVENT SHALL DEWEY'S PIZZA, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES;
  • LOSS OF DATA OR GOODWILL;
  • PERSONAL INJURY OR PROPERTY DAMAGE NOT DIRECTLY CAUSED BY OUR NEGLIGENCE;
  • COST OF SUBSTITUTE GOODS OR SERVICES; OR
  • ANY OTHER INTANGIBLE LOSSES;

ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL DEWEY'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Dewey's Pizza and you. Dewey's Pizza would not be able to provide the Site or Services to you without these limitations.

10. Indemnification

You agree to defend, indemnify, and hold harmless Dewey's Pizza and its respective officers, directors, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation;
  • Your use of the Site or Services in any manner not expressly authorized by these Terms;
  • Your provision of false, inaccurate, or misleading information in connection with any order, account, or interaction with us;
  • Your infringement, misappropriation, or violation of any third-party intellectual property, privacy, or other rights;
  • Any content or data you submit, post, or transmit through the Site; or
  • Your negligence or willful misconduct.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of Dewey's Pizza.

13. Governing Law and Jurisdiction

These Terms of Service and any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Site or Services, shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Dewey's Pizza operates, without regard to any conflict-of-law provisions that would require or permit the application of the laws of any other jurisdiction.

Subject to the dispute resolution provisions set forth below, you consent to the exclusive personal jurisdiction of the state and federal courts located within the applicable United States jurisdiction for the resolution of any disputes not subject to arbitration. You waive any objection to such jurisdiction or venue, including any objection based on improper venue or forum non conveniens.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services informally by contacting Dewey's Pizza at [email protected] and providing a written description of the dispute, the specific relief sought, and your contact information. We will make reasonable efforts to respond within thirty (30) calendar days. You agree to engage in good-faith negotiations for a period of sixty (60) days from the date of your initial written notice before pursuing any formal legal remedies.

14.2 Binding Arbitration

If informal resolution efforts are unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules (or Consumer Arbitration Rules, if applicable). The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

The arbitrator shall have the authority to award any remedy or relief that a court of competent jurisdiction could order or grant, including but not limited to monetary damages, injunctive relief, and specific performance. However, the arbitrator shall not have authority to award punitive or exemplary damages beyond what is expressly permitted by applicable law.

14.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND DEWEY'S PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR CONSOLIDATED ACTION OR PROCEEDING. If a court or arbitrator determines that the class action waiver set forth in this section is void or unenforceable, the arbitration provision shall be deemed null and void, and such dispute shall be resolved in a court of competent jurisdiction.

14.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information, without first engaging in the informal resolution or arbitration process described above.

15. Term and Termination

These Terms shall remain in full force and effect for so long as you access or use the Site or Services, or maintain an account with Dewey's Pizza. We reserve the right, in our sole discretion and without prior notice or liability, to:

In such circumstances, we will make reasonable efforts to resume performance as soon as practicable.

18. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or an arbitrator to be invalid, illegal, void, or unenforceable under applicable law, such provision shall be deemed severed from these Terms to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving, to the greatest extent possible, the original intent of the parties as expressed in the provision.

The failure of Dewey's Pizza to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver by us of any right or remedy under these Terms shall only be effective if it is in writing signed by an authorized representative of Dewey's Pizza, and shall not constitute a waiver of any subsequent breach or default.

19. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements published by Dewey's Pizza on the Site, constitute the entire agreement between you and Dewey's Pizza with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, between the parties relating to such subject matter. No oral modification or waiver of these Terms shall be binding on either party.

20. No Agency or Partnership
